Patrice is a Certified Public Accountant.  She has over 20 years of industry experience in both public and private organizations, and over 10 years of consulting in Southern California.  

Industries served include manufacturing, electronics, metals/mining, communications, healthcare, software, solar energy, pharmaceutical, biopharmaceutical and biotechnology Industries.

Patrice provides value-added services and support to companies in Southern California in various areas including SEC filings, M&A and IPO work, driving quarterly and year-end close processes, external audits, preparation of financial statements and related disclosures, technical accounting memos and implementation, staff training and coordination of the S-1 filing process, process redesign and staffing issues.  

Specific engagements have included assisting CEOs, CFOs, CAOs and Controllers with the following: 

• Driving the IPO process for a private healthcare company in Orange County. Responsibilities included creating the S-1, troubleshooting various accounting  issues, authoring accounting memos and disclosures on various technical standards including share based payments, asset retirement obligations, revenue recognition and earnings per share.  Converted Excel-based stock plan administration to Equity Edge software which entailed  reconciliation of all share-based payments, expense and SEC disclosure requirements.
• Preparing technical accounting memos on revenue recognition for a health technology company and solar company in San Diego.
• Developing a quarterly consolidation model and foreign currency translation, 8k and disclosures surrounding an acquisition and related segment issues, stock compensation and other technical accounting issues, treatment and analysis of related outcomes for a large, public pharmaceutical company in Orange County.
• S-1  creation for a pre-IPO green-tech manufacturer in Orange County, which included technical accounting research, related disclosures and financial statement preparation.
• Filing on the TSX Venture Exchange in Toronto, Canada and a reverse merger transaction for a pre-IPO solar company in San Diego. Assignments included assistance with IFRS financial statements, IFRS technical  accounting memos and research, pro-forma financial statements, financial statement disclosures and related support and staffing issues. 
• Preparing pre-IPO financial statements and S-1 for a private health science company in San Diego.
• Preparing technical accounting memos and financial statement disclosures related to complex equity instruments for a private genomics company in San Diego.
• Preparing pre-IPO financial statements, complex debt accounting research, implementation and related technical accounting memos for a private green-tech printing company in Los Angeles County.
• Transitioning the accounting department of a newly public biotechnology company in the Bay Area from old to new regime, new accounting system, financial reports and staffing issues.
